These Terms and Conditions (“Terms”) govern your access to and use of the 3DOS Services, including but not limited to our website located at www.3dos.io, web extensions, mobile and desktop applications, and any associated hardware and platforms (collectively, the “Services”), which facilitate participation in the 3DOS Network. By accessing, using, or otherwise participating in the Services, you agree to be bound by these Terms. If you do not agree with any provision herein, you must immediately discontinue use of the Services.

1. Overview

1.1 Ownership and Operation
3DOS Inc. (“3DOS”, “we”, “us”, or “our”) is the sole proprietor of the 3DOS Services and the 3DOS Network. These Services are provided solely by 3DOS and include all digital products, applications, and platforms made available through www.3dos.io. Your use of the Services constitutes your agreement to these Terms and our Privacy Policy, incorporated herein by reference.

1.2 Binding Agreement
By using or accessing the Services, you expressly represent and warrant that you are legally capable of entering into a binding agreement, and you consent to these Terms in full. Any modification to these Terms shall be effective upon posting on our website, and your continued use of the Services thereafter shall constitute acceptance of such modifications.

2. Restricted Persons; Minors

2.1 Prohibited Users
Access to the Services is strictly prohibited for:
 (a) Any person or entity residing in, located in, or incorporated in a jurisdiction subject to economic or financial sanctions;
 (b) Any individual residing in a jurisdiction where access to or use of the Services is unlawful;
 (c) Any person or entity designated as a Restricted Person under applicable sanctions regimes;
 (d) Any individual who is below the age of majority in their jurisdiction.
Circumvention of these restrictions, including via virtual private networks (VPNs), is expressly forbidden.

3. Access to the 3DOS Services; Account Creation and Maintenance

3.1 Grant of Access
Subject to these Terms, 3DOS grants you a personal, non-exclusive, non-transferable right to access and use the Services solely for your own personal and non-commercial purposes. This right may be revoked by 3DOS at any time, without notice, at our sole discretion.

3.2 Account Registration
Prior to using certain features of the Services, you must register for an account. In doing so, you agree to provide accurate, current, and complete information as prompted by the registration process and to update such information as necessary. You further represent that you have the legal capacity to enter into these Terms and will comply with all applicable laws.

3.3 Security of Credentials
You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activities that occur under your account. 3DOS shall not be liable for any unauthorized use of your account. You agree to notify 3DOS immediately of any breach of security or unauthorized use of your account.

4. Ownership of 3DOS Property; Trademarks; Intellectual Property

4.1 3DOS Property
All right, title, and interest in and to the Services, the 3DOS Network, and any associated works, designs, content, data, information, software, code, documentation, and materials (collectively, “3DOS Property”) are and shall remain the exclusive property of 3DOS, its affiliates, and licensors. Nothing in these Terms grants you any rights to such intellectual property except for the limited, non-exclusive right to access and use the Services as expressly provided herein.

4.2 Trademarks
All trademarks, service marks, logos, and trade names (“3DOS Trademarks”) displayed in connection with the Services are the property of 3DOS or its respective owners. You are prohibited from using, reproducing, or otherwise exploiting any 3DOS Trademarks without prior written consent from 3DOS.

4.3 Feedback
Any feedback, suggestions, or recommendations provided by you regarding the Services or 3DOS Property shall be deemed non-confidential and the sole property of 3DOS. You hereby irrevocably assign to 3DOS all rights, title, and interest in and to such feedback, and agree that 3DOS may use it without any obligation of compensation or attribution to you.

5. Code of Conduct; Restrictions on Use

5.1 User Obligations
You agree to comply with all applicable laws and these Terms when accessing or using the Services. In addition, you agree not to engage in any conduct that may harm 3DOS, its affiliates, or other users. Specifically, you shall not:

  • (a) Provide or disclose any 3DOS Property to unauthorized third parties;
  • (b) Rent, lease, sell, sublicense, assign, or otherwise transfer any rights granted under these Terms;
  • (c) Copy, modify, or create derivative works from any 3DOS Property;
  • (d) Attempt to reverse engineer, decompile, or disassemble any software or code provided as part of the Services;
  • (e) Circumvent or breach any security measures in place;
  • (f) Engage in fraudulent, abusive, or illegal activities;
  • (g) Impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • (h) Interfere with or disrupt the operation of the Services;
  • (i) Remove or alter any proprietary notices on the 3DOS Property;
  • (j) Use the Services for purposes of competitive analysis or in any manner detrimental to 3DOS.

Any violation of these restrictions may result in immediate suspension or termination of your access to the Services, and may subject you to legal action.

6. Availability; Downtime; and Updates

6.1 Availability
While 3DOS endeavors to provide continuous, uninterrupted access to the Services, we make no representations or warranties that the Services will be available at all times or without interruption, error, or delay. 3DOS reserves the right to suspend, modify, or discontinue the Services at any time without prior notice.

6.2 Maintenance and Updates
3DOS may perform scheduled or unscheduled maintenance, updates, or improvements to the Services. Such activities may result in temporary disruptions to access. 3DOS shall not be liable for any losses or damages arising from such maintenance or updates.

6.3 User Responsibility
You are solely responsible for maintaining the necessary equipment and internet connectivity required to access the Services.

7. Disclaimers and Limitation of Liability

7.1 General Disclaimer
THE SERVICES, INCLUDING ALL 3DOS PROPERTY, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. 3DOS DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. 3DOS DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

7.2 Disclaimer of Professional Advice
No information provided through the Services constitutes professional advice (investment, legal, financial, or otherwise). You are solely responsible for obtaining independent professional advice as necessary. 3DOS shall not be liable for any decision made based on such information.

7.3 Limitation of Liability
IN NO EVENT SHALL 3DOS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUES, OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL AGGREGATE LIABILITY OF 3DOS FOR DIRECT DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED TEN DOLLARS ($10.00), EXCEPT WHERE PROHIBITED BY LAW.

7.4 Assumption of Risk
Your use of the Services is at your sole risk. 3DOS shall not be liable for any loss, harm, or damage resulting from your reliance on or use of the Services.

8. Indemnification

You agree to indemnify, defend, and hold harmless 3DOS, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services or breach of these Terms.

11. Governing Law and Dispute Resolution

11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to any conflict of law principles that would result in the application of the laws of any other jurisdiction.

11.2 Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms, the Services, or your use thereof (each, a “Dispute”) shall be resolved exclusively in the courts located in the British Virgin Islands. You hereby consent to the jurisdiction and venue of such courts and waive any objections thereto. Furthermore, you agree that any Dispute shall be resolved on an individual basis and that no Dispute may be brought as a class action or representative proceeding.

11.3 Injunctive Relief
Notwithstanding the foregoing, 3DOS reserves the right to seek injunctive or other equitable relief to prevent or curtail any breach of these Terms.

12. Waiver and Severability

12.1 No Waiver
No failure or delay by 3DOS in exercising any right under these Terms shall operate as a waiver of such right, nor shall any single or partial exercise of any right preclude any other or further exercise of that right or any other right.

12.2 Severability
If any provision of these Terms is held to be invalid, unlawful, or unenforceable, such provision shall be deemed severed and shall not affect the validity or enforceability of the remaining provisions.

13. Assignment

13.1 Restrictions on Assignment
You may not assign, transfer, or sublicense your rights or obligations under these Terms without the prior written consent of 3DOS. Any attempted assignment without such consent shall be null and void.

13.2 3DOS’ Right to Assign
3DOS reserves the right to assign, transfer, or delegate these Terms, in whole or in part, to any third party without notice to you.

14. Entire Agreement

These Terms, together with any additional terms and conditions incorporated herein by reference, constitute the entire agreement between you and 3DOS regarding your access to and use of the Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, relating to such subject matter.

15. No Third-Party Beneficiaries

These Terms are solely for the benefit of the parties hereto and do not confer any rights or benefits upon any third party, except as expressly provided herein.

16. Notices

Any notices or communications required or permitted under these Terms shall be in writing and shall be deemed given when delivered personally, sent by email to marketing@3dos.io, or mailed by certified mail to the principal office of 3DOS Inc. at the address provided on www.3dos.io. All notices shall be deemed effective upon receipt.

17. Limitation on Time to Commence Disputes

Any claim or action arising out of or relating to these Terms or the Services must be commenced within one (1) year from the date on which the cause of action accrues, or such claim or action shall be forever barred, except as may be otherwise provided by applicable law.

18. Confidentiality

You agree to maintain the confidentiality of any non-public information disclosed to you by 3DOS in connection with your use of the Services and not to use such information for any purpose other than in connection with your use of the Services, except as required by law. This obligation shall survive the termination of these Terms.

19. Intellectual Property Rights

All intellectual property rights in and to the Services, the 3DOS Network, and all related content, features, and functionality (collectively, “3DOS Property”) are and shall remain the exclusive property of 3DOS or its licensors. Nothing in these Terms shall be construed as granting you any rights, title, or interest in the 3DOS Property, except for a limited, revocable license to access and use the Services in accordance with these Terms.

20. Feedback

Any suggestions, enhancements, or feedback (“Feedback”) that you provide to 3DOS regarding the Services shall be deemed non-confidential and the sole property of 3DOS. By providing such Feedback, you irrevocably assign to 3DOS all rights, title, and interest in such Feedback, and 3DOS shall be free to use and incorporate the Feedback without any obligation or compensation to you.

21. Amendments

3DOS reserves the right to amend or update these Terms at any time in its sole discretion. All amendments will be effective immediately upon posting on our website, and your continued use of the Services constitutes your acceptance of the amended Terms. We encourage you to review these Terms periodically.

Websites unrelated to manufacturing data aggregation may be restricted from use within the 3DOS extension and platform.

7. Limitation of Liability

3DOS shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or relating to these Terms.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the British Virgin Islands.
